By creating an account or using GIFTERRA, you agree to these Terms. If you do not agree, do not use the service.

2. Privacy Policy

By using the Gifterra platform, you acknowledge and agree to our Privacy Policy, which is incorporated by reference into these Terms.

Our Privacy Policy explains how we collect, use, store, and share personal information and other data when you use the platform. You are responsible for reviewing it so you understand how your information is handled.

We may update the Privacy Policy from time to time. Any changes take effect when the updated policy is posted on the platform. If you continue using Gifterra after an update, you agree to be bound by the revised Privacy Policy.

4. Eligibility and Account Registration

To use the Gifterra platform, you must meet the eligibility requirements below and provide accurate registration information.

• Complete the account registration process.
• Be at least 18 years old if you are registering as an individual. If you are registering on behalf of a company or other entity, you confirm you have the authority to bind that entity to these Terms.
• Not have been previously suspended, restricted, or banned from using the Gifterra platform.
• Successfully complete any required KYC and compliance checks.
• Comply with all laws and regulations applicable to you, including (where relevant) anti-money laundering, anti-corruption, and counter-terrorist financing requirements.

We may refuse, suspend, or limit access to the platform if you do not meet these requirements or if your use may expose Gifterra or other users to legal, compliance, or fraud risk.

5. Services Overview

Gifterra provides digital financial services such as:

• Enabling our users to exchange eligible gift cards for cash
• Enabling our users to exchange Bitcoin for cash through in-app features, subject to applicable compliance requirements, transaction monitoring, risk checks, and KYC where required, as part of our anti-fraud controls
• Bill payments (airtime, data, betting — as available in our app)

6. Transaction Modification and Rate Adjustments

If a transaction is submitted with incorrect, incomplete, inconsistent, or unclear details (whether perceived by you or by us), you authorize Gifterra to correct, update, or adjust the transaction details as reasonably necessary to process it, protect against fraud, or comply with our quality assurance and risk controls.

Gift card rates, Bitcoin conversion rates, and other displayed pricing may change due to market movement, liquidity, or risk factors. As a result, the final payout or credited amount for a transaction may differ from what you initially expected. Where appropriate, we may request additional information from you before processing.

By using Gifterra, you agree that such modifications may be made in our reasonable discretion and in a manner intended to protect both you and the platform.

You are responsible for submitting accurate transaction details and only submitting assets you lawfully control. Digital assets and gift card transactions can be irreversible; if you submit incorrect details (including wrong codes, wrong images, or wrong transfer information), you acknowledge that you may not receive the amount you expected and that recovery may not be possible.

7. Prohibited Activities

You agree not to use the Gifterra platform, our services, or any provided integrations or APIs to engage in prohibited conduct. Prohibited activities include, but are not limited to:

• Violating these Terms or our Privacy Policy.
• Attempting to trade, sell, or submit any asset or gift card that was not lawfully obtained by you.
• Engaging in, facilitating, or attempting any fraudulent activity, including any act intended to defraud Gifterra, our users, or any individual or business.
• Violating any applicable law or regulation.
• Harassing, abusing, threatening, or acting in a defamatory manner toward Gifterra, our staff, agents, or other users.
• Providing false, misleading, or incomplete personal information.
• Using bots, scrapers, or automated means to access the platform in a way that places an unreasonable load on our systems or attempts to bypass our security controls.

You acknowledge that Gifterra may restrict, suspend, or terminate your access and/or take appropriate legal action if we reasonably suspect or determine that you have engaged in any prohibited activity.

8. KYC, Compliance, and Fraud Prevention

You authorize Gifterra to verify your identity and/or transactions for compliance and fraud prevention purposes. We may do this directly or through trusted third-party providers, and may make inquiries we consider necessary to confirm information you provide.

These inquiries may include checking identity details available in public or commercially available sources (for example, your name, address history, and date of birth) and confirming account information associated with any linked bank account (for example, the account holder name). Based on the results, we may take reasonable steps to protect Gifterra, our users, and the integrity of the platform.

You also authorize any third party we use for these checks to respond to our requests for verification information to the extent permitted by law.

Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF). Gifterra maintains AML/CTF controls designed to support compliance obligations in the jurisdictions where we operate. These controls may include transaction monitoring, risk-based reviews, reporting where required, and KYC processes.

In Nigeria, our compliance program is designed to align with applicable AML/CTF requirements, including the Money Laundering (Prohibition) Act (as amended), the Terrorism (Prevention) Act (as amended), and relevant Central Bank of Nigeria AML/CFT regulations.

We may cooperate with competent authorities and regulators where legally required, including (as applicable) agencies such as the EFCC and SCUML.

9. Account Suspension and Termination

Gifterra may monitor activity on the platform and may restrict, suspend, or terminate your account where we have a reasonable basis to believe you have violated these Terms or where doing so is necessary to protect the platform, other users, or comply with legal obligations.

Without limiting the above, we may take such action if:

• Any content, material, or asset you submit or share on or through the platform appears to violate these Terms, a third party’s intellectual property rights, other property rights, or privacy rights.
• We reasonably suspect your use of the platform violates any applicable law or regulation, or involves fraud, abuse, or activity inconsistent with the purpose of the services.
• We reasonably believe you provided false, misleading, or deceptive information in connection with your registration, identity verification, transactions, or any other use of the services (whether to us or to another user).
• You fail to respond to our inquiries or do not provide requested information within a reasonable time.
• We are required to do so under applicable law, regulation, or a lawful request/order from a competent authority.
• We determine that you have previously violated these Terms or any other agreement you have entered into with Gifterra.

If any of the above occurs, Gifterra may immediately close, suspend, limit, or otherwise restrict your account and access to the services, in whole or in part, with or without notice where permitted by law. We may also pause, freeze, or cancel pending transactions and withhold payouts or credits where reasonably necessary for investigation, risk management, or to comply with legal or regulatory obligations.

10. Disclaimers

The platform and services are provided on an “as is” and “as available” basis. While we aim to provide a reliable experience, Gifterra does not guarantee uninterrupted access, error-free operation, or that transactions will always be completed within a specific timeframe.

Gifterra is not responsible for delays, interruptions, or failures caused by events outside our reasonable control, including internet or telecommunications outages, third‑party service disruptions, regulatory actions, acts of government, natural disasters, strikes, or other force majeure events.

We may rely on third‑party services (including payment processors, messaging providers, hosting, identity/KYC providers, and blockchain infrastructure). These services may experience downtime or failures, and Gifterra is not responsible for the performance or availability of third‑party systems.

You acknowledge that digital assets, gift cards, and related transaction data may be impacted by factors beyond our control. In rare circumstances, an asset submitted during a transaction may be delayed, become inaccessible, or be lost due to external events, third‑party failures, network issues, blockchain congestion or reorgs, irreversible transfers, or other circumstances that we cannot reasonably prevent.

You are responsible for maintaining the security of your account credentials and devices. Gifterra is not responsible for losses arising from unauthorized access to your account where such access results from your actions or omissions (for example, sharing passwords/OTPs, weak security practices, or compromised devices).

Gifterra does not provide services through social media channels. All transactions should be initiated only through our official website and our official mobile applications.

11. Limitation of Liability

To the fullest extent permitted by law, Gifterra and its directors, officers, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the platform or services.

To the fullest extent permitted by law, Gifterra will not be liable for any loss of digital assets, gift cards, value, or funds arising from: (i) user error or incorrect submission details; (ii) irreversible transfers; (iii) delays or failures of third‑party providers; (iv) blockchain network conditions; or (v) any events outside our reasonable control.

Without limiting the foregoing, where liability cannot be excluded under applicable law, our aggregate liability for all claims relating to the services will be limited to the amount of fees (if any) you paid to Gifterra for the specific service giving rise to the claim during the three (3) months immediately preceding the event that first gave rise to the claim.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by law.

12. Indemnification

You agree to indemnify and hold harmless Gifterra, its directors, officers, employees, agents, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) your submission or trading of any asset or information that you do not lawfully own or control.

13. Changes to These Terms

We may update these Terms from time to time. Continued use means you accept any updated Terms.

14. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our rights to enforce such provision in the future.
